Terms of Service
The short version: we make custom AI songs for you to send. Don't use them to attack people, infringe copyrights, or impersonate anyone. Songs are AI-generated and "as-is." Subscriptions, if you start one, are billed and managed by Apple. If you have a problem, email us.
1. Agreement to terms
By using the Balladly iOS app, balladly.com, or any related service (the "Service"), you agree to these Terms of Service ("Terms"). These Terms form a binding contract between you and SynthWeave LLC ("Balladly", "we", "us"). If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use Balladly. If you are under 18, you confirm that a parent or legal guardian has read these Terms and agrees to them on your behalf. The Service is offered in regions where Apple makes the App Store available; you are responsible for compliance with your local laws.
3. The service
Balladly lets you generate personalized AI songs by providing inputs (recipient name, relationship, occasion, your free-text descriptions, genre and vocal preferences). We process those inputs through third-party AI services to produce a song you can listen to and share.
The Service is provided "as available." We may add, change, or remove features at any time. We may stop offering the Service entirely with reasonable notice.
4. Your account
You're responsible for keeping your account credentials secure and for activity that happens under your account. Tell us immediately at hi@balladly.com if you suspect unauthorized access. We may suspend or close accounts that violate these Terms or that we reasonably believe pose a risk to other users or to Balladly.
5. Acceptable use
You agree not to use Balladly to create, share, or attempt to generate content that:
- Impersonates any specific real artist or attempts to clone a copyrighted artist's voice or style (e.g., "make it sound exactly like Taylor Swift"). Our systems block these requests; circumvention is a Terms violation.
- Targets a minor with romantic, sexual, or otherwise inappropriate content.
- Defames, harasses, threatens, or stalks a specific person.
- Promotes hate, violence, or discrimination based on protected characteristics.
- Infringes copyright, trademark, publicity rights, or other intellectual-property rights.
- Contains malware, attempts to access non-public parts of the Service, or otherwise interferes with normal operation.
- Is intended to deceive someone in a way that causes financial or reputational harm.
We may filter, block, refuse to generate, or remove content that violates these rules, with or without notice. Repeat violations can result in account termination.
6. Recipient consent & representation
When you create a song about a recipient (anyone other than yourself), you represent and warrant that:
- You have the right to use the recipient's name and the personal details you enter.
- You will not use Balladly to harass, deceive, or embarrass the recipient.
- You will respect any request from the recipient to delete a song that's about them.
Recipients who want a song about them removed can email hi@balladly.com. See our Privacy Policy § 7 for the takedown process and timelines.
7. Payments, in-app purchases & subscriptions
Some features of Balladly are free; others require payment.
- One-time purchases (e.g., Single Song $5, 3-Song Pack $10): you pay once and the entitlement is associated with your Apple ID.
- Subscriptions (e.g., Balladly+ when available): billed on a recurring basis through your Apple ID. Subscriptions auto-renew unless you cancel at least 24 hours before the current period ends. Manage or cancel at any time in your Apple ID Settings > Subscriptions.
- Refunds for App Store purchases are governed by Apple's refund policy. Contact Apple Support for refund requests; we are not the merchant of record on the App Store.
- Pricing is shown in the app before purchase and can be updated; you only pay the price displayed before the transaction.
- Apple's fee (typically 30%, or 15% under Apple Small Business Program) is taken by Apple and not by us.
8. AI-generated content
Songs created through Balladly are 100% AI-generated by third-party models (Anthropic Claude for lyrics, Suno for music). They are not performed by human artists.
AI output can be unpredictable. Lyrics may rhyme imperfectly; vocals may have AI-typical phrasing oddities; arrangements may sound less polished than human-produced studio recordings. Balladly is the impulse-tier service — fast, cheap, and good enough to send and laugh / cry / screenshot — not a studio-quality production service.
The legal status of AI-generated outputs (including copyright eligibility) is unsettled in many jurisdictions. We do not warrant that an AI-generated song is registrable or protectable as a copyrighted work in your country.
9. Ownership of generated songs
Subject to these Terms and any applicable third-party rights, you may use the songs you generate for personal, non-commercial purposes — share with friends, post on social media, send as a gift. To the extent we hold any rights in your generated song, we grant you a worldwide, non-exclusive, royalty-free license for those personal uses.
For clarity:
- We do not claim copyright over your specific output beyond what's needed to operate the Service.
- You grant us a license to host, store, transmit, and display your songs and inputs as necessary to provide the Service to you and to anyone you share with.
- You may not resell generated songs or use them in commercial advertising without separately obtaining rights.
10. Our intellectual property
The Balladly name, logo, app, website, software, designs, and underlying technology are owned by SynthWeave LLC and protected by intellectual-property laws. Nothing in these Terms transfers ownership of our IP to you. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.
11. Copyright complaints (DMCA)
If you believe content on Balladly infringes your copyright, send a notice to our designated DMCA agent at hi@balladly.com with: (a) your contact information, (b) identification of the copyrighted work, (c) the location of the allegedly infringing content, (d) a statement of good-faith belief that the use is not authorized, (e) a statement under penalty of perjury that your notice is accurate, and (f) your physical or electronic signature.
We will respond to valid notices in accordance with the DMCA. Repeat infringers' accounts will be terminated.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will meet your expectations. You use the Service at your own risk.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SynthWeave LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) $100 USD OR (b) THE AMOUNT YOU PAID US (NOT INCLUDING APPLE'S FEE) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in those jurisdictions, the limits above apply only to the extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless SynthWeave LLC from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your infringement of any third party's rights.
15. Termination
You can stop using Balladly and delete your account at any time. We can suspend or terminate your access if you violate these Terms or if your use creates legal risk for us or other users. Sections that by their nature should survive termination (IP, disclaimers, liability cap, indemnity, governing law, dispute resolution) will survive.
16. Governing law & disputes
These Terms are governed by the laws of Delaware, without regard to conflict-of-laws rules. The exclusive venue for any non-arbitrable dispute is the state and federal courts located in Wilmington, Delaware.
Optional binding-arbitration clause to be inserted by counsel before public scaling — see SETUP-LEGAL.md § 6.
17. Changes to these Terms
We may update these Terms. When we do, we'll update the "Effective" date and, for material changes, give you reasonable advance notice (in-app, by email, or on the website). Continued use of Balladly after changes take effect means you accept the updated Terms. If you don't agree to a change, your option is to stop using the Service.
